Terms of Service

These terms are the agreement between you and Papilo. By using the site, app, or API, you agree to them. We've kept the language as direct as we can.

Accepting these terms

By accessing or using Papilo (the website at papilonyc.com, the iOS app, and our public API), you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use Papilo.

Eligibility & accounts

You must be at least 18 years old to use Papilo. Many of the events we surface (bars, nightlife) are restricted to adults, and our service is designed accordingly.

If you create an account you are responsible for keeping your credentials confidential and for any activity that happens under your account. Notify us promptly at team@papilonyc.com if you suspect unauthorized access.

User content & licenses

You retain ownership of the events, photos, descriptions, and other content you submit ("User Content"). By submitting User Content, you grant Papilo a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote that content on our platform and in marketing materials about the platform.

You represent that you have the rights to grant that license — that the content is yours, or that you have permission from the rights holders to share it.

Event listings & accuracy

Event information on Papilo — dates, prices, locations, descriptions — is provided "as is" and may be sourced from third-party venues, promoters, and ticketing platforms. We do our best to keep listings accurate, but we don't guarantee accuracy and we're not responsible for changes made by event organizers or third parties.

Always confirm critical details (start time, age restrictions, ticket availability) with the venue or ticketing platform before you go.

Prohibited conduct

When using Papilo, you agree not to:

  • Use the platform for unlawful purposes or to harm others
  • Submit false, misleading, or spam event listings
  • Scrape, crawl, or harvest data without our written permission
  • Attempt to gain unauthorized access to our systems or other accounts
  • Interfere with the platform's normal operation
  • Use Papilo to harass, defame, or threaten others
  • Upload content that infringes intellectual property rights
  • Reverse-engineer the platform except as permitted by law

Our intellectual property

The Papilo name, logo, design, and platform code are owned by Papilo. You may not copy, redistribute, or create derivative works of our intellectual property without written permission. User Content remains owned by the user who submitted it, subject to the license described in section 3.

Disclaimers

Papilo is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We don't warrant that the platform will be uninterrupted, error-free, or that listed events will occur as described.

Limitation of liability

To the fullest extent permitted by law, Papilo and its team are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the platform — including loss of profits, data, or goodwill.

Our total liability for any claim related to the service will not exceed one hundred US dollars ($100) or the amount you paid us in the preceding twelve months, whichever is greater.

Termination

You may stop using Papilo or delete your account at any time. We may suspend or terminate access if we reasonably believe you have violated these terms or engaged in behavior that harms the platform or its users. Sections that by their nature should survive termination (content licenses, disclaimers, limitations of liability) will survive.

Changes to these terms

We may update these terms from time to time. For material changes we'll notify you by email or an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in New York County, New York, and you and Papilo each consent to that jurisdiction.
